La Prueba de la Cesión de Acciones en Venezuela

Abstract

El artículo se destinó a determinar la prueba de la cesión de acciones en Venezuela, ya que existía una ambigüedad para la documentación de la cesión de acciones y de cómo tiene que ser probada ante un juicio para demostrar la cualidad de accionista. La investigación utilizada fue de tipo documental con el auxilio del método hermenéutico, mediante el empleo de doctrina, jurisprudencia y ley. Como resultado, la prueba de la cesión de acciones por defecto es el libro de accionistas y para que el contrato sea oponible de forma general, el asiento de libro de accionistas que contiene dicho negocio debe ser presentada en el registro mercantil donde se encuentra el acta constitutiva de la sociedad mercantil, para que surta efectos tanto a terceros interesados y ajenos.

The article was intended to determine the proof of the transfer of shares in Venezuela, as there was an ambiguity for the documentation of the transfer of shares and how it has to be proven in a trial to demonstrate the quality of shareholder. The research used was of a documentary type with the help of the hermeneutical method, through the use of doctrine, jurisprudence and law. As a result, the proof of the transfer of shares by default is the shareholders ‘book and for the contract to be generally opposable, the shareholders’ book entry must be filed in the commercial register where the constitutive act of the mercantile company is located, to have an effect in relation to interested third parties and others.
