Validez y excepciones de la cláusula arbitral en contratos con empresas públicas en el derecho venezolano y comparado

Abstract

La validez de la cláusula arbitral es un tema angular para someter una controversia al conocimiento de un tercero árbitro, y excluir a la jurisdicción ordinaria del conocimiento de ese conflicto. Entendiendo la cláusula arbitral como la manifestación de voluntades de las partes a someterse a esta jurisdicción, podemos afirmar que tiene naturaleza contractual, por lo cual el examen de su validez correrá el mismo curso que un contrato. Sin embargo, esos requisitos de validez se complejizan cuando estamos contratando con el Estado, entrando a evaluar incluso conceptos como el orden público, que permiten una amplia interpretación, así como las materias arbitrables, la inmunidad de jurisdicción y los convenios internacionales suscritos, tanto en Venezuela como en otras jurisdicciones, siendo la tendencia internacional hacia la apertura del arbitraje.

The validity of the arbitration clause is an angular issue to submit a dispute to the knowledge of a third arbitrator and exclude the ordinary jurisdiction from knowledge of that conflict. Understanding the arbitration clause as the manifestation of wills of the parties to submit to this jurisdiction, we can affirm that it has contractual nature, therefore the examination of its validity will run the same course as a contract. However, these validity requirements become more complex when we are contracting with the State, entering to even evaluate concepts such as public order, that allows a broad interpretation, as well as the arbitrable matters, the immunity of jurisdiction and the international subscribed agreements, as well as in Venezuela and in other jurisdictions, being the international trend towards the opening of arbitration.
