RESPONSABILIDAD CIVIL, PENAL Y TRIBUTARIA DE LA FUNCIÓN EJERCIDA POR EL COMISARIO EN LA LEGISLACIÓN VENEZOLANA

Abstract

La función del Comisario mercantil es necesaria para la correcta marcha y adecuada actividad administrativa interna de los entes societarios. En Venezuela los deberes y compromisos del Comisario mercantil, no están dispuestos en texto normativo único y ello hace que, no se advierta de todas las obligaciones y consecuencias que acarrea el ejercicio de la función de este cargo. De allí que, las normas jurídicas que contemplan supuestos de hecho de responsabilidad y vinculan de manera indirecta y de forma implícita al Comisario puedan aplicarse, referirse e imputarse a esta figura mercantil. El propósito general, está dirigido a determinar las responsabilidades, que por ley se le atribuyen de manera indirecta a la función del Comisario mercantil en Venezuela. Metodológicamente, este trabajo establece sus bases en una investigación cualitativa documental, bajo los lineamientos de un diseño tipo jurídico descriptivo. Se obtuvo como resultado el análisis de diversas normas jurídicas venezolanas vigentes, que contienen responsabilidades de tipo civil y de orden penal, las cuales deben ser consideradas en el actuar del Comisario mercantil venezolano, además de aquellas responsabilidades que de manera expresa se le atribuyen a esta figura jurídica mercantil.

The function of the mercantile Commissar is necessary for the proper functioning and adequate internal administrative activity of the social entities. In Venezuela, the requirements and commitments of the Mercantile Commissary, are not provided in the single normative text and if it does, it does not allow all the obligations and consequences that carry the exercise of the function of this position. Hence, legal norms that contemplate de facto cases and indirectly and implicitly link the commissioner can apply, refer and be imputed to this commercial figure. The general purpose is directed to the responsibilities, which by law is indirectly attributed to the role of the commissar in Venezuela. Methodologically, this work establishes its bases in qualitative documentary research, under the guidelines of a descriptive legal design. The result was the analysis of various current Venezuelan legal norms, which contain civil and criminal liability responsibilities, which must be considered in the actions of the of the Venezuelan Commissary mercantile, in addition to the responsibilities that are expressed in another way attributed to this figure legal business.
